These Terms of Use (the “Terms”) constitute a legally binding agreement between you and Emiverse SVG LLC, a limited liability company duly incorporated and registered under the laws of Saint Vincent and the Grenadines (the “Company”), together with its subsidiaries and affiliated entities.

SERVICES
The Services allow users to buy, sell, and exchange virtual currencies (the “Virtual Currencies”), being digital assets based on distributed ledger technologies such as blockchain (including, but not limited to, Bitcoin, Ethereum, and others), subject to applicable laws and regulatory restrictions.
The Company does not provide custodial wallet services and does not hold or store Virtual Currencies on behalf of users, except where explicitly stated in connection with a specific Service or transaction flow.
Your use of the Services is also subject to the Privacy Policy and AML/KYC Policy, which form an integral part of these Terms.
Depending on your country of residence, you may not be eligible to use all or some of the Services. The Company reserves the right to restrict or terminate access to the Services at its sole discretion to comply with applicable laws and regulations.
You are solely responsible for complying with the laws applicable in your jurisdiction.
ELIGIBILITY
By opening an account (the “Account”), you represent and warrant that:
- You are at least 18 years old and have full legal capacity;
If acting on behalf of a legal entity, you are duly authorized;
You are not prohibited from using the Services under applicable law;
You are not a Restricted Person (as defined in AML/KYC Policy);
You will use the Services in compliance with all applicable laws.
RISK WARNING
Financial Risks
Virtual Currencies are highly volatile and involve significant risk. Prices may fluctuate dramatically, and you may lose all Or Part Of Your Funds.
The Company Does Not Guarantee Any Profits And Shall Not Be Responsible For Any Losses Incurred.
Operational Risks
You are responsible for safeguarding your Account credentials and assets. The Company implements reasonable security measures but cannot guarantee absolute security.
Regulatory Risks
The legal status of Virtual Currencies varies across jurisdictions and may change at any time, potentially affecting your use of the Services.
ACCOUNT RESPONSIBILITIES
You agree to:
- Provide accurate and complete information;
Maintain confidentiality of your Account credentials;
Notify the Company immediately of any unauthorized access;
- Not use the Account for illegal purposes.
The Company may request additional verification and may suspend or restrict your Account if suspicious activity is detected.
USE OF SERVICES
The Company grants you a limited, non-exclusive, non-transferable license to access and use the Services. The Company reserves the right to:
- Refuse or delay transactions;
Set transaction limits;
- Modify or discontinue Services at any time.
All transactions are final and non-refundable unless otherwise required by law.
PROHIBITED ACTIVITIES
You agree not to:
- Violate any applicable laws or regulations;
Provide false or misleading information;
Engage in fraud, market manipulation, or illegal activities;
- Attempt unauthorized access to the Site or other Accounts.
The Company may suspend or terminate your Account for any violation.
TRANSACTIONS
All transactions are subject to confirmation and may be delayed.
You are solely responsible for the accuracy of transaction details, including wallet addresses.
The Company shall not be liable for errors caused by incorrect information provided by you.
THIRD-PARTY PROVIDERS
The Company may engage third-party service providers for payment processing and compliance purposes. You consent to the sharing of necessary information for such purposes.
FEES AND PRICING
All applicable fees and prices are displayed on the Site and may be updated at any time.
Due to volatility, prices may change before a transaction is executed.
COMPLIANCE
You agree to comply with all applicable AML, KYC, and sanctions regulations.
You must not use the Services if:
- You are located in a restricted jurisdiction;
- You are listed on any sanctions list.
TAXES
You are solely responsible for determining and fulfilling your tax obligations.
The Company does not provide tax advice.
SUSPENSION AND TERMINATION
The Company may suspend or terminate your Account at its sole discretion, including in cases of:
- Violation of these Terms;
Suspicious or illegal activity;
Regulatory requirements;
- Risk to the Company.
Upon termination, you may be required to withdraw your assets subject to compliance checks.
LIMITATION OF LIABILITY
The Services Are Provided “As Is” And “As Available”.
To The Maximum Extent Permitted By Law, The Company Shall Not Be Liable For Any Indirect, Incidental, Or Consequential Damages, Including Loss Of Funds, Profits, Or Data.
INDEMNIFICATION
You agree to indemnify and hold harmless the Company from any claims arising from your use of the Services or violation of these Terms.
MODIFICATIONS
The Company may amend these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by the laws of Saint Vincent and the Grenadines.
Any disputes shall be resolved through arbitration in accordance with applicable rules, with the seat of arbitration in Saint Vincent and the Grenadines, unless otherwise required by law.
